1. SCOPE OF SERVICES

1.1 Engineering Services Carvalho Engineering Consulting ("Company") provides oil and gas engineering consulting services including but not limited to pipeline design, refinery process engineering, material specifications, calculation reports, construction management, and technical consulting.

1.2 Service Delivery All services are provided in accordance with industry standards and applicable codes. The Company reserves the right to subcontract portions of work to qualified specialists when deemed necessary.

2. CLIENT OBLIGATIONS

2.1 Information Provision Client shall provide accurate, complete, and timely information necessary for service delivery. Any delays or inaccuracies in client-provided data may affect project timelines and deliverables.

2.2 Site Access Client shall ensure safe and timely access to project sites, facilities, and relevant personnel as required for service execution.

2.3 Approvals Client is responsible for obtaining all necessary permits, approvals, and regulatory clearances unless specifically contracted otherwise.

3. PAYMENT TERMS

3.1 Fees and Billing

Professional fees are based on agreed hourly rates, fixed project fees, or retainer arrangements
Invoices are issued monthly or upon milestone completion
Payment terms: Net 30 days from invoice date
Late payments subject to 1.5% monthly service charge

3.2 Expenses Client shall reimburse all pre-approved project-related expenses including travel, accommodation, and third-party services.

4. INTELLECTUAL PROPERTY

4.1 Work Product All reports, calculations, drawings, and deliverables become client property upon full payment. Company retains rights to methodologies, general knowledge, and experience gained.

4.2 Confidentiality Company maintains strict confidentiality regarding all client information and project details.

5. LIABILITY AND WARRANTIES

5.1 Standard of Care Services are performed in accordance with professional engineering standards. Company does not warrant specific outcomes or results.

5.2 Limitation of Liability Company's total liability shall not exceed the total fees paid for the specific project. Company is not liable for consequential, indirect, or punitive damages.

5.3 Professional Insurance Company maintains professional indemnity insurance in accordance with industry standards.

6. FORCE MAJEURE

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including but not limited to natural disasters, government actions, labor disputes, or pandemic-related restrictions.

7. TERMINATION

7.1 Termination Rights Either party may terminate services with 30 days written notice. Client remains liable for work completed and expenses incurred up to termination date.

7.2 Immediate Termination Company may terminate immediately for non-payment or material breach by client.

8. DISPUTE RESOLUTION

8.1 Governing Law These terms are governed by the laws of Germany.

8.2 Dispute Process Disputes shall first be addressed through good faith negotiation. Unresolved disputes shall be settled through binding arbitration in accordance with German arbitration rules.

9. HEALTH, SAFETY & ENVIRONMENT

9.1 Safety Compliance All work shall comply with applicable health, safety, and environmental regulations. Company personnel shall follow client site safety requirements.

9.2 Risk Assessment Company will conduct appropriate risk assessments for field work and notify client of any safety concerns.

10. GENERAL PROVISIONS

10.1 Entire Agreement These terms, together with signed project agreements, constitute the complete agreement between parties.

10.2 Modifications Terms may only be modified through written agreement signed by both parties.

10.3 Severability If any provision is deemed invalid, remaining provisions shall continue in full effect.

10.4 Communication All formal notices shall be in writing and delivered to addresses specified in project agreements.
